Terms and Conditions
Last Updated: October 17, 2026
These Terms and Conditions (“Terms”) govern your access to and use of the SalesBotBase website, platform, AI chatbots, subscriptions, and related services (collectively, the “Service”).
In these Terms, “SalesBotBase,” “we,” “us,” and “our” refer to the provider of the Service. “You” and “your” refer to the individual or business accepting these Terms.
By accepting these Terms when registering, purchasing, or accessing the Service, you agree to be bound by them. If you act on behalf of a business, you confirm that you have authority to bind that business.
1. Eligibility and Account Responsibilities
You must be at least 18 years old and legally capable of entering into a binding agreement.
You must provide accurate account and billing information, protect your login credentials, and promptly report suspected unauthorized access.
You are responsible for activity performed by users you authorize.
You may deploy chatbots or connect websites, business accounts, messaging channels, and other services only where you have the necessary authority and permissions.
2. Description of the Service
SalesBotBase provides AI chatbot tools and related services designed to assist businesses with customer conversations, inquiries, lead capture, and sales support.
Depending on your purchased plan, features may include:
- AI chatbots trained or configured using business information.
- Answers to frequently asked questions.
- Product and service information.
- Lead capture and customer qualification.
- Website chat widgets.
- Conversation history and reporting.
- Human handoff or contact routing.
- Appointment, workflow, or messaging integrations.
Your purchase confirmation, order form, or written service agreement specifies your included features, channels, usage allowances, billing period, and any setup or managed services.
Features shown in demonstrations, roadmaps, promotional examples, or other subscriptions are included only when expressly stated in your purchase terms.
Integrations, live-agent support, appointment booking, payment collection, and automated external actions are included only where expressly confirmed.
3. Chatbot Configuration and Authorization
You are responsible for reviewing and approving the business information, knowledge sources, instructions, conversation flows, forms, and integrations used by your chatbot.
When you activate a chatbot or integration, you authorize the Service to respond to visitors and perform the configured actions on your behalf.
Depending on your settings, responses and enabled actions may occur without individual approval.
You must test the chatbot before deployment, monitor its operation, and correct or disable inaccurate, outdated, or unsuitable behavior.
Unless separately agreed in writing, SalesBotBase has no independent authority to enter into contracts, approve refunds, offer discounts, make warranties, or accept commitments on your behalf.
If you configure the chatbot to perform transactions or make commitments, you are responsible for defining its authority, obtaining necessary permissions, and establishing appropriate confirmation steps.
4. AI Responses and Business Results
AI-generated responses may be inaccurate, incomplete, outdated, or inconsistent with your instructions.
Providing business documents or website content does not guarantee that every response will correctly reflect those materials.
You are responsible for verifying material information, including prices, product availability, policies, qualifications, promotions, and contractual commitments.
The Service is not a substitute for professional medical, legal, financial, or other regulated advice. You must not configure a chatbot to present itself as a licensed professional unless the deployment is lawful and appropriately supervised.
We do not guarantee:
- Error-free or complete chatbot responses.
- Resolution of every customer inquiry.
- Leads, appointments, conversions, sales, or revenue.
- Continuous human support or successful escalation unless expressly included in your plan.
Testimonials and demonstrations illustrate particular experiences and do not promise your results.
5. Customer-Facing Disclosures and Human Oversight
You are responsible for providing legally required notices explaining that visitors are interacting with an automated or AI-powered system.
You must not configure a chatbot to deceptively impersonate a real person or misrepresent its capabilities.
Where appropriate to your business, you must provide a practical way for visitors to contact a person or obtain further assistance.
Do not present the chatbot as an emergency service or rely on it as the sole channel for urgent, safety-critical, or legally time-sensitive communications.
You are responsible for reviewing complaints, disputed responses, escalation requests, and transactions requiring human judgment.
6. Acceptable Use
You must use the Service lawfully and respect applicable privacy, communications, intellectual property, consumer protection, and industry-specific requirements.
You must not:
- Use the Service for fraud, phishing, scams, or deceptive commercial practices.
- Generate unlawful threats, harassment, discriminatory content, or abusive material.
- Impersonate another business or person without authorization.
- Upload content you do not have the right to use.
- Collect credentials, payment information, or sensitive personal information through an unsuitable or unauthorized workflow.
- Access websites, systems, or accounts without authorization.
- Distribute malware or malicious links.
- Evade security controls, usage limits, or access restrictions.
- Resell access or share subscriptions outside your purchased scope.
- Reverse engineer or interfere with the Service, except where applicable law permits.
We may investigate suspected misuse and restrict affected activity where reasonably necessary to protect users, visitors, the Service, or legal compliance.
7. Business Information and Knowledge Sources
You are responsible for ensuring that documents, website pages, product catalogs, FAQs, policies, and other materials supplied to the Service are accurate, current, and lawfully usable.
You must promptly update information that changes, including pricing, availability, promotions, contact details, and customer policies.
Connecting a website or uploading a document does not guarantee immediate or continuous synchronization. Refreshing or reprocessing may be required depending on the purchased features.
Do not submit confidential information, trade secrets, internal instructions, or personal information unless necessary for the intended use and appropriate safeguards are in place.
Chatbot instructions and knowledge sources must not be treated as secure storage for passwords, API keys, payment credentials, or other secrets.
8. Connected Services and Integrations
You are responsible for obtaining and maintaining the websites, accounts, permissions, subscriptions, and other services required for your chosen features.
Connected services remain subject to their own terms, technical limitations, and enforcement decisions.
Changes, outages, expired permissions, or account restrictions may interrupt chatbot functionality, message delivery, booking, or other automated actions.
You must verify that important actions, such as appointments, orders, payments, and record updates, have completed successfully.
SalesBotBase is not affiliated with or endorsed by a connected platform unless expressly stated.
Nothing in this section excludes responsibility that applicable law does not allow us to exclude.
9. Fees, Billing, and Renewals
Prices, currency, billing frequency, taxes, setup charges, and included usage will be disclosed at checkout or in your written order.
Where you select an automatically renewing subscription, you authorize recurring charges at the disclosed frequency until cancellation. Automatic renewal must be disclosed before purchase.
If payment is arranged through invoices or payment links without recurring authorization, renewal requires payment under the applicable invoice or agreement.
You are responsible for applicable taxes and currency conversion or payment-provider charges disclosed by those providers.
We may suspend paid features after notifying you of an overdue payment and providing a reasonable opportunity to resolve it, unless immediate action is justified by suspected fraud or security concerns.
Price increases apply prospectively, with at least 30 days’ notice before the affected renewal. You may cancel before the increase takes effect.
10. Usage Allowances
Your plan or order specifies applicable allowances and how usage is counted.
Messages, conversations, AI responses, knowledge storage, chatbot instances, connected channels, and integration actions may have different counting rules.
A usage allowance does not guarantee a corresponding number of unique visitors, leads, resolved inquiries, or completed transactions.
Unless your purchase terms state otherwise, unused periodic allowances expire at the end of the billing period and do not roll over or convert to cash.
We will obtain your authorization before charging for usage beyond your purchased allowance.
If an allowance is exhausted, affected features may pause or become unavailable until the allowance resets or you approve additional capacity.
11. Cancellation and Refunds
You may cancel through available billing controls or by contacting us through the contact options on our website before renewal.
Cancellation stops future renewals once effective. Unless otherwise stated, access continues until the end of the paid subscription period.
Except where required by law, expressly promised in an offer, or provided under these Terms, fees already paid are non-refundable.
Changing your mind, not using available features, or failing to achieve expected business results does not by itself create a refund entitlement.
Separately purchased setup, customization, or implementation work is governed by the agreed scope, milestones, and cancellation terms.
If we permanently discontinue a material paid service without providing a reasonably comparable alternative, or terminate your subscription for reasons unrelated to your breach, we will refund prepaid fees attributable to the unused affected period.
These Terms do not limit statutory remedies for defective, misrepresented, or undelivered services. You may raise billing concerns with us without surrendering lawful payment-dispute rights.
12. Customer Content and Conversation Data
You retain your rights in materials and information you provide, including business documents, knowledge sources, chatbot instructions, and customer records (“Customer Content”).
Rights in visitor information and conversation data remain subject to applicable law and the rights of the individuals concerned. These Terms do not give you unrestricted ownership of personal information.
You grant us a limited right to process Customer Content and conversation data as reasonably necessary to provide, secure, support, and maintain the Service, follow your lawful instructions, and comply with legal obligations.
You confirm that you have the rights and permissions necessary to provide that content and authorize the relevant processing.
We do not acquire ownership of your Customer Content merely because you use the Service.
13. Privacy, Security, and Confidentiality
Our Privacy Policy explains how personal information is collected, used, shared, retained, and protected. Where required, a separate data processing agreement will govern processing performed on your behalf.
Each party remains responsible for its own obligations under applicable data protection law. These Terms do not transfer all privacy responsibility to the customer.
You are responsible for providing appropriate privacy notices to chatbot visitors, establishing a lawful basis for collection, and obtaining consent where required.
Collect only information reasonably necessary for the stated purpose. Do not request sensitive information through ordinary chat unless the workflow is suitable, lawful, and appropriately protected.
We may engage service providers to support delivery of the Service, subject to applicable contractual safeguards and disclosure requirements.
Each party must protect the other party’s non-public business information using reasonable care and use it only for the agreed relationship, except where disclosure is authorized or legally required.
Confidential information does not include information that is lawfully public, independently developed, already lawfully known, or lawfully received from another source without a confidentiality obligation.
No online service can guarantee absolute security or zero data leakage. Security incidents and legally required notifications will be handled in accordance with applicable law.
14. Intellectual Property
SalesBotBase and its licensors retain their respective rights in the Service, software, branding, documentation, and associated materials.
During your subscription, you receive a limited, non-exclusive, non-transferable right to use the Service within your purchased scope.
You may use generated chatbot content for lawful business purposes. AI output may not be unique, and we do not guarantee exclusive rights or freedom from third-party claims.
Rights to custom development, deliverables, or source code are governed by your written agreement. Purchasing a subscription does not by itself transfer ownership of the platform or source code.
You may not use SalesBotBase branding in a manner that implies an unauthorized partnership or endorsement.
15. Availability, Support, and Changes
We use reasonable efforts to maintain the Service but do not promise uninterrupted or error-free operation unless a separate written service-level agreement applies.
Maintenance, security incidents, connectivity problems, and changes to connected services may cause delays or interruptions.
Support channels, availability, response targets, and included maintenance are determined by your purchased plan or written agreement. Continuous monitoring and 24-hour human support are included only where expressly confirmed.
We may improve or modify features. If a change materially reduces a core paid feature during a prepaid term, we will offer a reasonable remedy, which may include a comparable alternative or a proportionate refund for the unused affected service.
16. Suspension and Termination
We may suspend or terminate access for a material breach, unlawful use, nonpayment, or a significant security risk.
Where practical, we will explain the reason and provide a reasonable opportunity to correct a remediable breach. Immediate action may be necessary to prevent harm or comply with law.
You may stop using the Service and cancel in accordance with Section 11.
Upon termination, access rights end, and deployed chatbots or connected features may stop functioning. You are responsible for removing inactive widgets and updating your website or customer-facing channels.
Where lawful and technically feasible, we will provide a reasonable opportunity to request an export of available Customer Content before deletion.
Retention, backup deletion, and legal retention exceptions are governed by our Privacy Policy and any applicable data processing agreement.
17. Warranties and Limitation of Liability
We will provide the Service with reasonable care and skill.
Except for express commitments in these Terms and rights that cannot lawfully be excluded, the Service is provided “as available,” without additional warranties of uninterrupted operation, commercial results, or suitability for a particular purpose.
To the extent permitted by law, neither party is liable to the other for indirect or consequential losses, including lost profits or lost business opportunities.
To the extent permitted by law, each party’s aggregate liability arising from the Service is limited to the fees paid or payable under the affected subscription or service order during the 12 months immediately preceding the event giving rise to the claim.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, unpaid contractual fees, or liability that applicable law prohibits limiting.
Mandatory consumer and data protection rights remain unaffected.
18. Third-Party Claims
For business customers, you agree to indemnify SalesBotBase against third-party claims arising from your unlawful chatbot deployment, infringement by materials you supply, unauthorized account access, or unlawful instructions for collecting or using visitor information.
This obligation applies only to the extent the claim results from your conduct. It does not cover losses caused by our own breach, negligence, or misconduct.
We will promptly notify you of a covered claim, provide reasonable cooperation, and allow you to control its defense with suitable counsel.
A settlement may not impose liability, an admission, or continuing obligations on us without our written consent, which will not be unreasonably withheld.
19. Governing Law and Disputes
These Terms are governed by the laws of the Republic of the Philippines, subject to mandatory protections applicable in your jurisdiction.
Please first contact us with a description of your concern so that we can attempt a good-faith resolution.
If unresolved, disputes may be brought before courts of competent jurisdiction in Pasay City, Philippines, except where applicable law requires or permits another venue.
Nothing prevents either party from seeking urgent relief or approaching an authorized regulator, consumer body, or other competent authority.
20. Changes and General Provisions
We may update these Terms to reflect changes in the Service, business practices, or law.
We will provide at least 30 days’ notice of material changes, unless a shorter period is reasonably necessary for legal or security reasons.
Changes will not retroactively remove accrued rights or remedies.
Where fresh acceptance is required by law, we will obtain it. Otherwise, continued use after the notified effective date constitutes acceptance to the extent permitted by law.
These Terms, your applicable order, and any expressly incorporated agreements form the agreement governing the Service.
A separately signed agreement prevails over conflicting provisions in these Terms. A data processing agreement prevails for matters specifically concerning its processing scope.
If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision immediately does not waive it.
Neither party is responsible for delays caused by events reasonably beyond its control. This does not excuse accrued payment obligations or remove applicable refund rights.
21. Contact
